Terms of service

1. Purpose and scope

These terms of service (the “Terms”) govern the subscription to the ERP-BI service (the “Service”), published by Beyondsky OÜ, an Estonian private limited company registered in the Estonian Commercial Register under number 16894028, with its registered office at Narva mnt 5, 10117 Tallinn, Estonia (“Beyondsky”), reachable at [email protected].

The Service is reserved for professionals (companies, associations, sole traders) acting for the purposes of their business (the “Customer”). It is not offered to consumers.

By creating an account, the Customer accepts these Terms. They prevail over any other document, including the Customer’s own purchasing terms.

2. Description of the Service

ERP-BI is online software that connects to the Customer’s Odoo database to analyse it. It includes in particular:

Each Customer has its own instance, reachable at the address chosen at signup, under the erp-bi.com domain.

The Service evolves. Beyondsky may add, change or remove features. It may not substantially reduce the subscribed Service without informing the Customer, who may then cancel.

ERP-BI is an independent product, not affiliated with Odoo S.A. Odoo is a registered trademark of Odoo S.A.

3. Account and users

The Customer creates an account with a work email address and a password, then connects its Odoo with an API key. The Customer guarantees the accuracy of the information provided and the confidentiality of its credentials. Any action taken with its credentials is deemed taken by the Customer. The Customer may create other users in its instance and remains responsible for them.

4. Access to Odoo

The Customer provides the API key of an Odoo user with access to the necessary data (Sales, CRM, Invoicing, Contacts). The Service reads this data. It writes to Odoo only on an explicit action by one of the Customer’s users, for example to add registry data to a company record. The Customer may revoke the key at any time from Odoo, which stops the synchronisation.

5. Artificial intelligence key

Beyondsky does not provide an artificial intelligence model. The Customer enters the API key of an account it holds with Anthropic or OpenAI. The Service’s texts (recommendations, daily email, assistant answers) are generated with this key, on the Customer’s account and under the terms the Customer accepted with that provider, which bills the usage directly to the Customer.

To produce these texts, the Service sends the provider the necessary information, which may include figures and names of companies and contacts. Beyondsky is not responsible for the availability, billing or content of that provider. The conversational assistant requires an Anthropic key.

6. Free trial

A company’s first subscription includes a 15-day free trial. A payment method is requested when the trial starts, without being charged. Unless cancelled before the trial ends, the paid subscription starts automatically when it ends. Only one trial is granted per company.

7. Price and payment

The subscription costs €99 per month per instance. Beyondsky is not registered for VAT and does not charge VAT. The Customer is responsible for paying any taxes due in its country. This price does not include the usage of the artificial intelligence provider, billed directly to the Customer by that provider (article 5).

Payment is monthly and in advance, by automatic charge to the registered payment method, through the payment provider Stripe. Beyondsky never has access to card numbers. Invoices are available in the instance’s “Subscription” area.

If a payment fails, new charge attempts are made. If the amount remains unpaid, access to the Service is suspended until payment, without prejudice to the amounts due.

Beyondsky may change its prices by notifying the Customer by email at least 30 days before the renewal concerned. A Customer who refuses the new price may cancel before that date.

8. Term and cancellation

The subscription is monthly and renews automatically each month. The Customer may cancel it at any time from the instance’s “Subscription” area. Cancellation takes effect at the end of the current, already paid period. No started period is refunded.

Beyondsky may suspend or terminate the subscription in the event of a serious breach of these Terms by the Customer, including non-payment or unlawful use, after an email notice that remains without effect for 15 days. It may do so without notice in the event of a threat to the security of the Service.

9. Data after the subscription ends

When the subscription ends, the instance is deactivated and its data is kept for 90 days, so that it can be reactivated as it was. It is then deleted. The Customer’s data remains in any case in its Odoo, of which ERP-BI only holds a copy.

10. Customer obligations

The Customer uses the Service in accordance with the law and these Terms. It shall not attempt to access other customers’ instances, circumvent security measures or resell the Service.

It is solely responsible for the data in its Odoo and its lawfulness, and for the business decisions it makes based on the Service. It prospects the suggested companies in compliance with the applicable rules, in particular on direct marketing and data protection.

11. Availability and support

Beyondsky endeavours to keep the Service available at all times, without guaranteeing continuous availability. Interruptions may occur for maintenance, updates or incidents, and Beyondsky endeavours to limit them. The synchronisation also depends on the availability of the Customer’s Odoo and of the public registries.

12. Liability

The Service is a decision-support tool. Scores, recommendations, suggested companies and texts written by artificial intelligence are indicative and may contain errors. They do not commit Beyondsky to any commercial result for the Customer.

Beyondsky is liable only for proven fault. Its liability is limited to direct damages, up to the amounts paid by the Customer over the last 12 months. Beyondsky is not liable for indirect damages, such as loss of revenue, customers or data, nor for failures attributable to Odoo, to the Customer’s artificial intelligence provider, to the Customer or to a third party.

13. Intellectual property

Beyondsky remains the owner of the Service, its code, algorithms and content. For the duration of the subscription, the Customer has a personal, non-exclusive and non-transferable right of use.

The Customer remains the owner of its data. It authorises Beyondsky to process it solely to provide the Service.

14. Personal data

For the personal data contained in the Customer’s Odoo (contacts, sales reps, exchanges), the Customer is the controller and Beyondsky acts as processor within the meaning of Article 28 of the General Data Protection Regulation (GDPR). As such, Beyondsky:

The Customer authorises the following sub-processors: Hetzner Online GmbH (hosting, Germany, servers in the European Union) and Cloudflare, Inc. (network and security, United States). Transfers outside the European Union are covered by the European Commission’s standard contractual clauses or an equivalent mechanism. Beyondsky informs the Customer of any change of sub-processor, which the Customer may refuse by cancelling.

The artificial intelligence provider chosen by the Customer (article 5) acts on the Customer’s account and under the Customer’s contract. The data it receives is sent to it on the Customer’s instructions.

Payment data is processed by Stripe on its own behalf. The Customer’s account data (company name, email) is processed by Beyondsky to manage the subscription. The Customer exercises its rights at [email protected].

15. Confidentiality

Each party keeps confidential the other’s non-public information it learns in connection with the contract, for its duration and 3 years after it ends.

16. Force majeure

Neither party is liable for a failure caused by an event beyond its control, which it could not reasonably foresee or overcome.

17. Changes to the Terms

Beyondsky may change these Terms. The new terms are notified by email at least 30 days before they take effect. A Customer who refuses them may cancel before that date. Continuing the subscription constitutes acceptance.

18. Governing law and disputes

These Terms are governed by Estonian law. The parties first seek an amicable solution. Failing that, any dispute falls under the exclusive jurisdiction of the courts of Tallinn (Harju Maakohus).
